1. GENERAL PROVISIONS
1.1. This public offer (hereinafter the “Offer”) is a legally binding proposal made by Individual Entrepreneur Andrey Vladimirovich Dugaev (hereinafter the “Lessor”) to any person over the age of 18, legal entity, or individual entrepreneur (hereinafter the “Lessee”) to enter into a lease agreement (hereinafter the “Agreement”) for non-residential premises under the terms set forth herein.
1.2. This Offer shall be deemed accepted, and a binding Agreement shall be formed, upon the receipt of rental payment by the Lessor either in cash, via bank transfer, or through the online payment system indicated on the website: www.rejisser-loft.ru.
1.3. By accepting this Offer, the Lessee confirms that they have read, understood, and agreed to:
  • the terms of this Agreement,
  • the Rules for Use of the Hall (Appendix No. 1),
  • the terms of personal data processing,
  • the applicable Rates published on the Lessor’s Website.
1.4. This Agreement is concluded in the form of a public offer in accordance with Articles 435, 437, 438, and 453 of the Civil Code of the Russian Federation.
1.5. All matters not governed by this Agreement shall be regulated by the applicable laws of the Russian Federation.

2. DEFINITIONS
  • Lessor – IE A. V. Dugaev, the party providing the Hall for lease.
  • Lessee – an individual or legal entity who accepts this Offer.
  • Hall – the non-residential premises located at: Volgogradskaya St. 46/3, Orenburg, Russia.
  • Location – the entire complex of premises managed by the Lessor.
  • Event – a private event organized by the Lessee.
  • Participants – individuals invited by the Lessee to attend the Event.

  • Rates – the current pricing list published on the Website.
  • Rules for Use of the Hall – a binding document for all persons present in the Hall.

3. SUBJECT OF THE AGREEMENT
3.1. The Lessor agrees to provide, and the Lessee agrees to lease, the Hall for the selected date and time as confirmed in the booking confirmation.
3.2. The premises are leased solely for the purpose of conducting a private event.
3.3. The Hall shall be transferred to the Lessee based on a handover certificate and returned under a return certificate. In case of any damages, a separate damage report shall be drawn up.

4. PROCEDURE FOR CONCLUDING THE AGREEMENT
4.1. The Lessee shall:
  • review the terms on the Website;
  • submit a reservation request or contact the Lessor;
  • receive confirmation of the Hall’s availability;
  • make payment for the lease.
4.2. Upon receipt of payment:
  • the Lessee shall be deemed to have entered into this Agreement;
  • the Lessor shall reserve and prepare the Hall accordingly.
4.3. If payment is made by a legal entity or individual entrepreneur, an invoice shall be issued based on the provided company details.
4.4. Failure to make payment within 12 hours of booking confirmation shall result in cancellation of the preliminary reservation.

5. RIGHTS AND OBLIGATIONS OF THE PARTIES
The Lessor shall:
  • provide access to the Hall at the agreed time;
  • allow access for Event Participants;
  • comply with applicable personal data processing regulations.
The Lessee shall:
  • use the Hall strictly for its intended purpose;
  • handle all property with due care;
  • ensure all Participants are informed of and comply with the Rules for Use of the Hall;
  • compensate the Lessor for any damage to the premises, furniture, or equipment;
  • return the Hall in a clean and proper condition at the end of the rental period.

6. PAYMENT AND RATES
6.1. The rental fee is determined in accordance with the Rates published on the Website.
6.2. Payment may be made in cash or via bank transfer.
6.3. In case of an extension of the rental period, an additional payment shall apply in accordance with the Rates.
6.4. A delay in returning the Hall by more than 10 minutes will incur a charge for each full or partial 10-minute interval.
6.5. Any damage to the Lessor’s property shall be reimbursed based on a cost estimate or damage report.

7. LIABILITY OF THE PARTIES
7.1. The Parties shall be held liable for any failure to fulfill their obligations under this Agreement in accordance with the legislation of the Russian Federation.
7.2. The Lessee shall be responsible for the actions of all Event Participants and for any damage caused to the Hall, the building, furnishings, or equipment.
7.3. The Lessor shall not be liable for:
  • the personal belongings, health, or behavior of guests;
  • the actions of the Lessee or Participants outside the leased premises;
  • any consequences arising from the Lessee’s or Participants’ violation of applicable laws.
7.4. Violations of the Rules for Use of the Hall are subject to fines as follows:
  • First violation — RUB 5,000;
  • Repeated violations — RUB 10,000.

8. FORCE MAJEURE
8.1. Neither Party shall be held liable for failure to perform their obligations under this Agreement due to force majeure events beyond their reasonable control, provided such events are duly documented (e.g., by the Chamber of Commerce or Emergency Ministry).

9. PERSONAL DATA PROCESSING
9.1. The Lessee consents to the processing of their personal data in accordance with Federal Law No. 152-FZ, including transfer to third parties for the purposes of fulfilling this Agreement or legal requirements.
9.2. The Lessee has the right to revoke their consent by submitting a written request to the Lessor.

10. TERM OF THE AGREEMENT
10.1. This Agreement shall enter into force upon acceptance (payment) and remain in effect until the end of the rental period.
10.2. Extension of the Agreement is possible by mutual consent of the Parties.
10.3. In case of any disputes, the Parties agree to seek pre-trial resolution. Claims must be submitted to: dugaev_andrey@mail.ru. Review period — 10 calendar days.

11. FINAL PROVISIONS
11.1. Any changes to this Agreement shall be published on the Website at least one (1) day prior to taking effect.
11.2. The following documents form an integral part of this Agreement:
  • Appendix No. 1 — Rules for Use of the Hall;
  • Appendix No. 2 — List of Equipment and Inventory;
  • Rates as published on the Website.
11.3. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
